1. General Terms and Conditions Acceptance

NO OTHER WARRANTIES EXPRESSED OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WILL APPLY TO EQUIPMENT AND GOODS SOLD OR RENTED. Prices quoted do not include any taxes. Taxes will be added to the invoice as required by law to be billed and collected. These taxes will be paid by the customer unless the customer provides a valid tax exemption certificate to "Axiom". Minimum billing is one hundred dollars per invoice. Any oral statements about the goods or equipment do not constitute warranties. They shall not be relied upon by the Customer and are not part of the agreement.

These terms and conditions shall be governed by and construed in accordance with the laws of the State of California. Any legal action or proceeding with respect to the Contract shall be brought exclusively in the state or federal courts in California without giving any effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of any laws of any jurisdiction other than those of the State of California, and the parties hereby consent to the venue and jurisdiction of such courts including but not limited to Small Claims court.

2. Credit Card Authorization Terms

By completing the "Credit Card Authorization Form" you are authorizing Axiom Test Equipment, Inc. to charge your credit card for agreed upon purchases. This includes, but is not limited to regularly scheduled charges for rental billings, charges for sales / repairs of equipment, taxes, freight, equipment damage, equipment downtime, stolen equipment, missing accessories, overdue billings, etc.. A paid invoice/receipt for each payment will be provided to you and the charge will appear on your credit card or bank statement. You agree that no prior notification will be provided and you understand that your information will be saved on file for future transactions on your account.

By clicking "Submit Form" on the "Credit Card Authorization Form" page, you agree to provide the necessary information to help us process your payment and detect fraud. As part of this service, we collect information necessary to complete the transaction.

3. Used Equipment Sales Terms and Conditions

1) Transcat, Inc. is referred to herein as "Transcat". The customer purchasing goods from Transcat is referred to herein as the "Customer".

2) All USED goods or equipment sold by Transcat are subject to a limited warranty of 180 days (90 days for resellers) unless otherwise noted.

3) Instruments are available on a first come first served basis.

4) Warranty period starts the day the equipment is shipped from Transcat.

5) Non-payment or delinquent payment (5 days or more past due) will void said warranty.

6) Transcat will, at its discretion, repair, replace or refund equipment at the selling price for any malfunctioning equipment or goods, provided payment is made in due course, except in cases of improper application or misuse of goods or equipment by the Customer. Freight costs are not refundable.

7) No equipment or goods will be accepted for repair without prior authorization from Transcat. Customer is liable for freight cost back to Transcat.

8) All warranty shipments returned to Transcat must be insured at Customer's expense for full value of the goods or equipment purchased. In case of shipping damage, the warranty does not apply. It is the Customers' responsibility to contact the forwarder promptly and register a claim.

9) Transcat retains title to all purchased goods and equipment until the sales invoice is paid in full, at which time title will convey to the buyer. Invoices are Pro Forma and do not convey title until paid.

10) Prices are subject to change without notice and Transcat is not responsible for typographical errors. Items quoted are subject to sale and or rental prior to order placement.

11) Prices do not include Sales Tax or Freight Charges.

12) All shipments operate on a pre-pay and add basis. The shipping cost will be added to the invoice. The shipping method will be “Best Way” as decided by Transcat. If the Customer wishes to utilize their shipping account (e.g., FedEx, UPS) they must inform Transcat via their Purchase Order (PO) or Credit Card Authorization form before the shipment. Acquiring freight insurance is the buyer’s responsibility and requires notification before shipping. All items are dispatched FOB Origin.

13) Prices quoted are valid for 30 Days from date of quote.

4. International Terms and Conditions

All payment terms are in United States Dollars.

Payment terms are wire transfer of full funds prior to shipment. No credit cards are accepted for international shipments.

Buyer is responsible for all paperwork, taxes, duties and additional costs associated with international freight. Axiom assumes no responsibility for items held in customs.

5. Transcat Instrument Rental Agreement

1) Transcat, Inc. is referred to herein as "Transcat." The customer renting goods from Transcat is referred to herein as the "Customer". The term of this rental agreement between Transcat and the Customer extends for the length of the Customer's rental order. The rental agreement MUST be signed by the Customer prior to the shipment of the equipment.

2) Instruments are available on a first come first served basis.

3) Rental Term: The minimum rental duration is either one week or one month, as indicated under the "Rental Period" in the provided quote. A rental week constitutes seven (7) days, and a rental month comprises four (4) rental weeks, twenty eight (28) days.

4) A submitted form of payment, Purchase Order, or Credit Card number shall constitute the Customer's agreement to the terms of that quote.

5) Rental Rate Terms: Rental Equipment is shipped and invoiced for the first rental period after the signed rental agreement is received. Transcat will continue to bill the Customer the agreed-upon rate the day following the previously invoiced period expires for the next period of equal duration. The final invoice will include any required repair, accessory replacement ($100 Minimum Charge), or cleaning charges determined after the unit is received and inspected by Transcat based on industry standards.

6) All rentals start the day of the equipment shipment to the Customer and will continue throughout the minimum term and thereafter until the return of the equipment to a Transcat Inventory Center, whether or not the period is covered by the Customer’s Purchase Order.

7) Transcat retains title on all rental equipment. The equipment shall remain the property of Transcat and is provided to the Customer solely on a rental basis.

8) Price includes all standard accessories and manuals. Customer needs to ensure that they request any additional accessories necessary for their specific application. Optional Accessories may incur additional charges as stated on the quote and invoice.

9) Pricing does not include transport to and from Transcat’s inventory locations.

10) All shipments operate on a pre-pay and add basis. The shipping cost will be added to the first invoice. The shipping method will be "Best Way" as decided by Transcat. If the Customer wishes to utilize their shipping account (e.g., FedEx, UPS) they must inform Transcat via their Purchase Order (PO) or Credit Card Authorization form before the shipment. Acquiring freight insurance is the buyer’s responsibility and requires notification before shipping. All items are dispatched FOB Origin.

11) Upon request Transcat will provide the latest certificate for the unit IF available. The Customer MUST inform Transcat of any calibration requirements BEFORE the unit is shipped to the Customer to ensure the availability of the calibration data. Calibration costs will be added to the quote if necessary.

12) Transcat warrants to the Customer only that rental equipment is in good operating condition when shipped. If equipment is received and is not in good operating condition due to no fault of the Customer Transcat shall, at its option, either repair equipment or supply replacement equipment subject to availability. Defects or Discrepancies must be reported to Transcat in writing within 24 hours of receipt of the unit. After this time, it is conclusively agreed that the equipment was as ordered and received in good condition and was accepted as such.
